In determining the independence of Mr. Jibson, the NGS Committee considered the employment of Mr. Jibson’s adult, financially independent son by Dominion Energy. During part of 2024, Mr. Jibson’s son was employed by Dominion Energy Wexpro Services Company, a former subsidiary of Dominion Energy that was sold to Enbridge in June 2024, as a manager of joint operations and regulatory affairs. Mr. Jibson’s son was not an executive officer of Dominion Energy or any of its subsidiaries and received compensation in accordance with the company’s compensation practices applicable to employees of equivalent qualifications, experiences and responsibilities.
