In March 2015, a total of 728 shares were transferred to a rabbi trust that we established in connection with our Deferred Compensation Plan for Non-Employee Directors, pursuant to which non-employee directors may elect to defer directors’ fees into common stock units. Coltec furnished these shares in exchange for management and other services provided by EnPro. 106 of these shares were valued at a price of $67.73, the average of the high and low trading price of our common stock on March 16, 2015, and 622 of these shares were valued at a price of $65.77 per share, the average of the high and low trading price of our common stock on March 31, 2015. Accordingly, the total 728 shares were valued at a weighted average price of $66.06. We do not consider the transfer of shares from Coltec in this context to be pursuant to a publicly announced plan or program.
