Management’s Discussion and Analysis of Financial Condition and Results of Operations
•
Revenue was $
577.6 million
for the first quarter of fiscal 2016, representing a decline of 8.5% versus the
first
quarter of fiscal 2015. The change in revenue reflected a
5.8%
decline from the Outdoor & Lifestyle Group, a
10.8%
decline from the Boston Group, a
11.8%
decline from the Heritage Group and a
4.9%
decline from the Multi-Brand Group. Revenues were negatively impacted by lower demand, unfavorable foreign exchange rates, the closure of Company retail stores and the exit of the
Cushe
®
business.
•
Gross margin declined 180 basis points to 39.6% in the
first
quarter of fiscal 2016 due primarily to unfavorable foreign currency and higher restructuring costs.
•
Operating margin decreased 420 basis points to 5.9% for the
first
quarter of fiscal 2016, primarily driven by lower revenues, higher restructuring and impairment costs and the impact of lower gross margin.
•
The effective tax rate in the
first
quarter of fiscal 2016 was 31.4% compared to 27.3% in the
first
quarter of fiscal 2015. The higher effective tax rate in the current year period reflects a shift in income between tax jurisdictions with differing tax rates.
•
Diluted earnings per share for the
first
quarter of fiscal 2016 were $0.18 compared to $0.39 per share for the
first
quarter of fiscal 2015.
•
The Company repurchased 200,000 shares during the first quarter of fiscal 2016 at an average price of $17.78 per share.
•
The Company declared cash dividends of $0.06 per share in both the
first
quarter of fiscal 2016 and fiscal 2015.

The Company’s Board of Directors approved a common stock repurchase program on February 12, 2014. This program authorizes the repurchase of up to $200 million of common stock over a four-year period, although the annual amount of any stock repurchases are restricted under the terms of the Company's Credit Agreement.

Employee transactions include: (1) shares delivered or attested to in satisfaction of the exercise price and/or tax withholding obligations by holders of employee stock options who exercised options, and (2) restricted shares and units withheld to offset statutory minimum tax withholding that occurs upon vesting of restricted shares and units. The Company’s employee stock compensation plans provide that the shares delivered or attested to, or withheld, shall be valued at the closing price of the Company’s common stock on the date the relevant transaction occurs.
